Society AGM

The inaugural AGM of the Mahurangi Trail Society will be held on Tuesday August 4th at 7pm in the Betty Paxton Room.

I expect the AGM to be brief but there is some business to cover in the form of a rule change. If you have business for the AGM please let me know ASAP so I can publish the agenda.

Immediately following the AGM I have invited Chris Charles of Auckland Council/ Walking Access Commission to speak. Many of you will have heard the name and will wonder why it is significant. I have asked him to speak about who he is and his background, his role and his progress to date.

As preparation for the AGM on Tuesday 4th August please note the following.

We resolved at formation to “The current officers of the [SBRRA Walkways Sub-Commitee] are appointed to the new committee in their respective roles until the first AGM of the new society after June 30th 2020 or a Special Meeting is called to change officers.”

We need to formalise this and according to our rules “Each candidate shall be proposed and seconded in writing by Members and the completed nomination delivered to the Secretary.”
The existing committee have mostly decided to stand for the new committee.

Those standing are:  Gary Heaven, June Turner, Roger Turner, Gaye Manning-Ward, Roger Grant, Shelley Trotter, Roger Williams, Ben Howson and Terry Norris.

Additional nominees can be made by email up to 5 days before the meeting. I will publicise the full list when it becomes available.

Also please note that Terry is retiring from the position of secretary after 5 years so we will be looking to elect a new secretary. One option is that I take on the role and we appoint a new chair.

Quorum. Our AGM quorum is 10 members. We can sign up members immediately prior to the AGM but we do not have the capability to nominate the committee from the floor.

Business Item: Rule Change
The committee proposes the following motion to change the rules of the society. “The committee moves to adopt the addition of clauses 16.2, 16.3 and  24.5 to the society rules to comply with the IRD requirements for not for profit societies”. The detail of these is included as attachments to this email.

We have provision for proxy voting. If you cannot attend then please nominate someone else as your proxy. Also If you know other members who are unlikely to attend the AGM then please ensure that they nominate their proxy.

Proxies must be received by the secretary no later than 1 hour before the AGM. Proxy notification can be a simple 1 line email in the form “I [person name] nominate [other person] to vote on all / [or specific matters] on my behalf at the Mahurangi Trail Society AGM for 2020” that is emailed to me and copied to the nominee.
